Divestment of Ascom Toll

In the context of focusing on its core activities as communicated in November 2007, Ascom has received an irrevocable offer for its French company Ascom Multitoll Solutions SAS, based on a management buy out of the French Ajax Holding SAS.

Ajax Holding SAS made an irrevocable offer to Ascom SAS to purchase 70% of the French subsidiary Ascom Multitoll Solutions SAS in Asnières, near Paris. Ascom SAS will reply to Ajax’ offer after having completed the consultation of its employees’ representatives in accordance with French labor laws. The signing and closing of the transaction is expected to take place by end of September 2008.

Ajax Holding SAS is a French company domiciled in Annecy, owned by Christian Defay, current Managing Director of the Ascom Toll Business Unit. Ascom shall keep a stake of 30% in order to facilitate the transfer of the current business.

Both parties have agreed not to disclose the purchase price. The transaction would lead to a book loss of a single digit million CHF amount for the Ascom Group.

“With this MBO, Ascom has found a sound solution for its Toll Business Unit which takes into account the interest of the customers and the employees” says Riet Cadonau, CEO of Ascom.

Ascom Multitoll Solutions is a system provider of turn-key toll solutions to highway, bridge and tunnel operators. The business unit achieved a revenue of 18 MCHF in 2007, and currently employs about 70 persons.
